These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by CSoft Healthcare Solutions ("CSoft", "we", "us", or "our"), a company registered and operating in Bangalore, Karnataka, India. By accessing or using our website or services, you agree to be bound by these Terms.
Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must not use our website or services.
1. Definitions
- "Services" means all healthcare technology products, platforms, applications, and related services offered by CSoft, including but not limited to HIMS, DIMS, Telemedicine, AI Medical Scribe, RCM Automation, VMER, LIMS, Voice Agents, RPM, Patient Wallet, Online Medical Shop, Fraud Analytics, and Interoperability Hub.
- "User" or "You" means any individual, healthcare provider, organisation, or entity that accesses or uses our website or Services.
- "Client" means an entity that has entered into a separate service agreement or subscription with CSoft for the use of our Services.
- "Content" means all text, graphics, images, software, code, data, and other materials available on or through our website and Services.
- "Personal Data" has the meaning assigned to it under the Digital Personal Data Protection Act, 2023.
2. Acceptance of Terms
By accessing our website or using our Services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into a binding agreement under Indian law.
- If you are accessing or using the Services on behalf of an organisation, you have the authority to bind that organisation to these Terms.
- You will comply with all applicable laws, rules, and regulations, including but not limited to Indian laws.
- All information you provide to us is accurate, current, and complete.
3. Services Description
CSoft provides enterprise healthcare technology solutions designed for hospitals, clinics, diagnostic laboratories, pharmacies, insurance companies, and other healthcare providers. Our Services include:
- Software-as-a-Service (SaaS) healthcare management platforms
- Hospital and dental college hospital information management systems
- Telemedicine and virtual care platforms
- AI-powered clinical documentation and medical scribing
- Revenue cycle management and billing automation
- Insurance technology and claims management
- Laboratory and pharmacy management systems
- Patient engagement and communication tools
- Healthcare data analytics and fraud detection
- Interoperability and health information exchange solutions
The specific scope, features, and pricing of Services shall be governed by a separate service agreement or subscription order executed between CSoft and the Client.
4. User Accounts and Registration
- Certain features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorised access to or use of your account.
- You are solely responsible for all activities that occur under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorised purposes.
5. Intellectual Property Rights
All Content, software, technology, trademarks, logos, trade names, and other intellectual property associated with our website and Services are the exclusive property of CSoft or its licensors and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and other applicable Indian and international intellectual property laws.
- You may not copy, reproduce, modify, distribute, display, perform, transmit, or create derivative works from any Content without our prior written consent.
- You may not reverse engineer, decompile, or disassemble any software provided as part of the Services.
- Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by us without any obligation of compensation or attribution.
6. Acceptable Use Policy
You agree not to use our website or Services for any purpose that is unlawful or prohibited by these Terms. Specifically, you shall not:
- Use the Services in any manner that violates applicable Indian or international laws, including healthcare regulations.
- Upload, transmit, or distribute any content that is defamatory, obscene, offensive, or infringes on the rights of others.
- Attempt to gain unauthorised access to any systems, networks, or data associated with our Services.
- Introduce viruses, malware, or other harmful code into our systems.
- Use automated means (bots, scrapers, crawlers) to access or collect data from our website without prior written permission.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the Services to store or transmit data in violation of the IT Act, 2000 or the DPDP Act, 2023.
7. Healthcare Disclaimer
CSoft provides healthcare technology solutions and is NOT a healthcare provider, medical practitioner, or licensed clinical establishment under the Clinical Establishments (Registration and Regulation) Act, 2010 or any state-specific clinical establishment legislation.
- Our Services are technology tools designed to assist healthcare providers in managing their operations. They do not constitute medical advice, diagnosis, or treatment.
- Healthcare providers using our platforms remain solely responsible for all clinical decisions, patient care, and compliance with applicable medical regulations including the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002.
- Our AI-powered features (including AI Medical Scribe and clinical decision support) are assistive tools only and must not be used as the sole basis for clinical decisions.
- We do not guarantee that our Services will meet the specific regulatory requirements applicable to your jurisdiction or speciality.
8. Data Protection and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using our Services, you consent to the data practices described in our Privacy Policy.
- Clients using our platforms to process patient data are responsible for obtaining necessary consents from patients and data principals as required under the DPDP Act, 2023.
- CSoft acts as a Data Processor on behalf of healthcare provider Clients who are the Data Fiduciaries, as defined under the DPDP Act.
- We implement industry-standard security measures to protect data. However, no system is completely secure, and we cannot guarantee absolute security.
9. Payment Terms
For paid Services:
- Fees, billing cycles, and payment terms are specified in the service agreement or subscription order between CSoft and the Client.
- All fees are quoted in Indian Rupees (INR) unless otherwise specified, and are exclusive of applicable taxes including Goods and Services Tax (GST) as per the Central Goods and Services Tax Act, 2017.
- Payments are due as specified in the invoice. Late payments may attract interest at the rate of 1.5% per month or the maximum rate permitted under the applicable law, whichever is lower.
- We reserve the right to suspend access to the Services for overdue accounts after providing 15 days written notice.
- Refunds, if applicable, shall be processed in accordance with the refund policy specified in the service agreement.
10. Service Level and Availability
- We strive to maintain 99.9% uptime for our cloud-hosted Services but do not guarantee uninterrupted access.
- Scheduled maintenance windows will be communicated in advance. Emergency maintenance may be performed without prior notice.
- We are not responsible for service disruptions caused by factors beyond our reasonable control, including but not limited to internet service provider failures, power outages, natural disasters, or acts of government.
- Specific service level commitments, if any, are detailed in the service agreement between CSoft and the Client.
11. Third-Party Services and Integrations
Our Services may integrate with or provide links to third-party services, applications, or websites. Such integrations are provided for convenience only.
- We do not endorse, control, or assume responsibility for third-party services or their content.
- Your use of third-party services is governed by their respective terms and privacy policies.
- We are not liable for any loss or damage arising from your use of third-party services.
12. Limitation of Liability
To the maximum extent permitted under Indian law, including the Indian Contract Act, 1872:
- CSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, arising from or related to your use of the Services.
- Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to CSoft in the twelve (12) months preceding the claim.
- Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, death, or personal injury caused by negligence, or any liability that cannot be excluded or limited under Indian law.
13. Indemnification
You agree to indemnify, defend, and hold harmless CSoft, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Services in violation of these Terms.
- Any breach of your representations and warranties under these Terms.
- Your violation of any applicable law or regulation.
- Any content or data you submit, upload, or transmit through the Services.
- Your infringement of any third-party intellectual property or other rights.
14. Term and Termination
- These Terms are effective from the date you first access or use our website or Services and remain in effect until terminated.
- We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms.
- You may terminate your use of the Services at any time by ceasing to access our website and, if applicable, by cancelling your subscription as per the service agreement.
- Upon termination, your right to access and use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.
- Upon Client request made within 30 days of termination, we will provide a copy of Client data in a standard machine-readable format. After 30 days, we may delete Client data in accordance with our data retention policy.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, riots, government actions, power failures, internet disruptions, or any other event constituting force majeure under Indian law.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website with a revised "Last Updated" date. For Clients with active subscriptions, we will provide at least 30 days advance notice of material changes via email.
Your continued use of the website or Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
- Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations within 30 days.
- Arbitration: If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be Bangalore, Karnataka, India. The language of arbitration shall be English.
- Jurisdiction: Subject to the arbitration clause above, the courts in Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes arising under these Terms.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
19. Waiver
The failure of CSoft to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of CSoft.
20. Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreement or subscription order, constitute the entire agreement between you and CSoft regarding the use of the website and Services. These Terms supersede all prior agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof.
21. Notices
All notices under these Terms shall be in writing and shall be deemed to have been duly given when:
- Sent by email to the address provided by the respective party.
- Sent by registered post or speed post to the registered address of the respective party.
Notices to CSoft should be sent to the address provided in Section 22 below.
